1. Introduction and Acceptance

This Seller Agreement ("Agreement") is entered into between ReptileKitchen LLC ("ReptileKitchen," "Platform," "we," "us," or "our") and you ("Seller," "you," or "your") regarding your use of the ReptileKitchen marketplace platform to sell feeder animals and related products.

This Agreement supplements and incorporates by reference our Terms of Service and Privacy Policy. By creating a seller account, you acknowledge that you have read, understood, and agree to be bound by this Agreement, the Terms of Service, and the Privacy Policy.

2. Seller Eligibility and Requirements

2.1 Basic Requirements

To become and remain a seller on ReptileKitchen, you must:

Age and Legal Capacity:

• Be at least 18 years of age
• Have the legal capacity to enter into binding contracts
• Not be prohibited from using the Platform under applicable law

Business Operations:

• Operate a legitimate breeding or supply business
• Maintain good standing in all jurisdictions where you operate
• Not be subject to any injunction or disciplinary action related to animal welfare violations

Financial Requirements:

• Provide valid bank account information for payouts
• Provide accurate tax information (W-9 for U.S. entities, W-8 for non-U.S. entities)
• Have a tax identification number (EIN or SSN)

2.2 Licensing and Permits

You represent and warrant that you possess and will maintain all licenses, permits, and authorizations required by federal, state, and local law to breed, sell, and ship feeder animals, including but not limited to:

Federal Requirements:

• USDA license (if applicable - required for dealers breeding animals for resale)
• APHIS (Animal and Plant Health Inspection Service) permits for interstate shipment

State and Local Requirements:

• State breeding or commercial animal sales licenses
• Local business licenses
• Sales tax permits
• Any species-specific permits

Continuing Obligation: You must promptly notify ReptileKitchen if any license is suspended, revoked, or expires. Failure to maintain required licenses may result in immediate account suspension.

3. Subscription Tiers and Fees

3.1 Subscription Plans

ReptileKitchen offers three subscription tiers. You must select and maintain one active subscription to sell on the Platform:

Subscription Billing:

• Subscription fees are billed in advance on a recurring basis
• Monthly subscriptions: Billed on the same day each month
• Annual subscriptions: Billed once per year on anniversary of sign-up
• Payment method: Credit card, debit card, or bank transfer
• Automatic renewal unless cancelled

Commission Fees:

• Deducted automatically from each transaction payout
• Calculated on the total sale price (product price + any seller-charged shipping fees)
• Does not include buyer-paid taxes (if collected separately)

4. Listing Requirements and Standards

4.1 Listing Content

Each listing must include:

Required Information:

• Accurate product title (species, type, size/age)
• Detailed description (minimum 50 characters)
• Pricing (clear, accurate, including any size/quantity variations)
• At least one clear photo
• Availability status (in stock, made-to-order, pre-order)
• Shipping information (methods, costs, handling time)
• Your DOA (Dead on Arrival) policy

Prohibited Content:

• False or misleading information
• Stock photos (photos must be of your actual animals or representative specimens)
• Copyrighted images you don't have rights to use
• Offensive, explicit, or inappropriate content
• Health claims not substantiated by veterinary evidence
• Guarantees you cannot fulfill

4.2 Product Categories

Acceptable products include:

• Frozen feeder rodents (mice, rats, rabbits, etc.)
• Live feeder rodents
• Feeder insects (crickets, roaches, worms, etc.)
• Feeder supplies and accessories
• Related products (tongs, storage, etc.)

Prohibited Products:

• Protected or endangered species
• Diseased or unhealthy animals
• Wild-caught animals (unless legally permitted with documentation)
• Non-feeder exotic animals
• Products unrelated to reptile feeding
• Illegal or controlled substances

5. Order Fulfillment and Shipping

5.1 Order Processing

Acceptance:

• You have 24 hours to accept or reject an order
• Orders not accepted within 24 hours are automatically cancelled
• Payment is held in escrow until you confirm shipment

5.2 Shipping Requirements

Timing:

• Ship within your stated handling time (1-5 business days typical)
• Provide tracking information within 24 hours of shipment
• Cannot delay shipment beyond 14 days without buyer consent

Packaging:

• Use appropriate insulated packaging for live animals
• Include heat or cold packs as needed for temperature control
• Ensure secure packaging to prevent escape or injury
• Label packages according to carrier requirements
• Include "Live Animals" labels where required

Weather Holds:

You may delay shipment due to extreme temperatures (below 40°F or above 85°F in transit). Communicate weather holds to buyers promptly and offer alternative shipping dates or refunds.

5.3 Dead on Arrival (DOA) Policy

You must clearly state your DOA policy in each listing. Typical policy includes:

• Refund or replacement for animals dead upon arrival within 24 hours of delivery
• Require photo evidence of DOA
• Honor your stated policy
• Weather-related deaths may be excluded if weather holds were offered

6. Payment Terms and Payouts

6.1 Payout Schedule

Standard Payouts (All Tiers):

• Rolling 7-day basis
• Funds available 7 days after delivery confirmation or 14 days after shipment (whichever comes first)
• Automatic transfer to your bank account

Instant Payouts (Premium Tier Only):

• Available within 30 minutes of shipment confirmation
• 1% fee per transaction
• Must opt-in for each transaction
• Maximum $50,000 per transaction

6.2 Tax Reporting

1099-K Forms:

We will issue IRS Form 1099-K if you exceed thresholds:

• $20,000 in gross sales AND 200 transactions (older threshold)
• $600 in gross sales (newer threshold, state-dependent)
• Sent by January 31 for previous tax year

Your Tax Obligations:

• Report all income on tax returns
• Collect and remit sales tax as required
• Maintain records for 7 years
• Consult a tax professional for guidance

7. Seller Performance and Standards

7.1 Performance Metrics

We track seller performance metrics including:

• Order acceptance rate (target: >90%)
• On-time shipping rate (target: >95%)
• Cancellation rate (target: <5%)
• Refund/return rate (target: <10%)
• Customer service response time (target: <24 hours)
• Buyer satisfaction rating (target: >4.5/5.0 stars)
• DOA rate (target: <5%)

7.2 Prohibited Seller Practices

You May Not:

• Attempt to complete transactions outside the Platform to avoid fees
• Share contact information in listings or messages to solicit off-platform sales
• Manipulate metrics (fake sales, fake reviews, etc.)
• Retaliate against buyers for negative feedback
• Bribe buyers for positive reviews
• Use misleading titles or tags

8. Reviews and Feedback

8.1 Buyer Reviews

Buyers may leave reviews and ratings for products and your shop. Reviews are important to your reputation and Platform success.

Your Rights:

• Respond publicly to reviews (professional, non-defensive)
• Report reviews that violate policies (profanity, threats, irrelevant content, competitor sabotage)
• Request removal of reviews obtained through coercion or that violate policies

Prohibited Actions:

• Offering incentives for positive reviews
• Threatening or harassing buyers who leave negative reviews
• Creating fake accounts to leave reviews
• Asking family/friends to leave reviews without disclosing relationship

9. Intellectual Property

9.1 Your Content License

By creating listings and posting content on ReptileKitchen, you grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, display, and distribute your content for purposes of operating and promoting the Platform.

9.2 Your Representations

You represent and warrant that:

• You own or have rights to all content you post
• Your content does not infringe third-party intellectual property rights
• Product photos are your own or licensed for commercial use
• You have rights to any trademarks or brand names used

10. Customer Service and Communication

10.1 Your Responsibilities

Responding to Inquiries:

• Respond to buyer messages within 24-48 hours
• Answer questions accurately and completely
• Maintain professional tone
• Do not share personal contact information to circumvent Platform

Dispute Resolution:

• Work with buyers to resolve issues directly
• Be willing to provide refunds or replacements when warranted
• Participate in Platform mediation if requested
• Do not harass or threaten buyers

11. Compliance and Legal Obligations

11.1 Animal Welfare Act Compliance

If you are subject to USDA regulation, you must:

• Maintain current USDA license
• Submit to USDA inspections
• Maintain records as required by APHIS
• Report violations or compliance issues
• Ensure humane treatment and care standards

11.2 Truth in Advertising

Your Obligations:

• Do not make false or misleading claims
• Substantiate any health, genetics, or quality claims
• Do not misrepresent lineage or source
• Honor advertised policies (returns, guarantees)
• Comply with FTC endorsement and testimonial guidelines

12. Limitation of Liability and Disclaimers

12.1 No Guarantee of Sales

We do not guarantee:

• Any level of sales, traffic, or visibility
• That buyers will purchase your products
• That you will be profitable
• Placement in search results or promotions

12.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REPTILEKITCHEN'S TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE FEES YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

13. Term and Termination

13.1 Termination by You

You may terminate this Agreement at any time by:

• Cancelling your subscription in account settings
• Sending written notice to legal@reptilekitchen.com

13.2 Termination by Us

We may terminate this Agreement immediately if:

• You breach this Agreement or Terms of Service
• You lose required licenses or permits
• Your account poses legal or reputational risk
• You engage in fraud or illegal activity
• Your account has sustained poor performance
