1. Agreement to Terms

Welcome to ReptileKitchen! These Terms of Service ("Terms") govern your access to and use of the ReptileKitchen website, mobile applications, and related services (collectively, the "Platform" or "Services"). The Platform is operated by ReptileKitchen LLC ("ReptileKitchen," "we," "us," or "our").

By accessing or using our Platform, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Platform.

Important Notice:

These Terms contain an arbitration clause and class action waiver in Section 20. By agreeing to these Terms, you agree to resolve disputes through binding arbitration instead of court, and you waive your right to participate in class actions.

2. Eligibility and Account Registration

2.1 Age Requirement

You must be at least 18 years old to use the Platform. By creating an account, you represent and warrant that you are at least 18 years of age.

2.2 Account Creation

To access certain features of the Platform, you must create an account by providing:

Accurate, current, and complete information
A valid email address
A secure password
Additional information as required for sellers (business details, tax information, USDA license if applicable)

2.3 Account Security

You are responsible for:

Maintaining the confidentiality of your account credentials
All activities that occur under your account
Notifying us immediately of any unauthorized use
Not sharing your account with others

3. Platform Description

ReptileKitchen is an online marketplace that connects sellers of feeder animals (primarily rodents and insects for reptile feeding) with buyers. We provide the technology platform but are not a party to transactions between buyers and sellers.

We do NOT:

Own, breed, or sell feeder animals
Guarantee the quality, safety, or legality of any products
Take custody or control of any products listed
Act as an agent for buyers or sellers
Guarantee that transactions will be completed

4. Seller Terms

4.1 Seller Eligibility

To become a seller, you must:

Be at least 18 years old
Have legal capacity to enter into contracts
Comply with all applicable federal, state, and local laws
Obtain and maintain all necessary licenses and permits
Provide accurate tax information (W-9 or W-8)

4.2 Listing Requirements

Prohibited Items:

You may NOT list:

Protected or endangered species
Wild-caught animals (unless legally permitted)
Diseased, injured, or unhealthy animals
Animals not suitable as feeder animals
Illegal substances or controlled items
Live animals shipped in violation of carrier policies

4.3 Subscription Tiers

Sellers must maintain an active subscription:

Starter Tier: $19/month + 6% commission (25 active listings)
Professional Tier: $49/month + 4% commission (75 active listings)
Premium Tier: $99/month + 2% commission (150 active listings)

5. Buyer Terms

5.1 Buyer Obligations

As a buyer, you agree to:

Provide accurate shipping information
Complete payment as required
Accept deliveries in a timely manner
Report issues (DOA) within required timeframes
Treat sellers professionally and respectfully
Use purchased animals humanely and legally

5.2 Order Placement

When you place an order:

You make a binding offer to purchase
The seller may accept or reject your order
A contract forms when the seller accepts
Payment is processed immediately upon acceptance
You cannot cancel orders once accepted (except as provided by seller policy)

6. Fees and Payment

6.1 Platform Fees

Buyer Fees: None (fees are paid by sellers and embedded in prices)
Seller Fees: Monthly subscription + transaction commission

6.2 Payment Processing

All payments are processed by Stripe. You agree to Stripe's terms and conditions. We do not store payment card information.

7. Prohibited Conduct

You agree NOT to:

Create fake or fraudulent accounts
Submit false orders or payments
Post false, misleading, or deceptive content
Attempt to hack or disrupt the Platform
Leave fake reviews or ratings
Engage in price-fixing or anti-competitive behavior
Violate any applicable laws or regulations
Circumvent Platform fees (off-platform transactions)

8. Enforcement and Termination

8.1 Our Rights

We reserve the right, at our sole discretion, to:

Remove or edit any content
Suspend or terminate accounts
Refuse service to anyone
Investigate suspected violations
Cooperate with law enforcement

8.2 Effect of Termination

Your right to use the Platform ends immediately
Outstanding orders must be fulfilled
Refunds may be issued to buyers for unfulfilled orders
Unpaid fees become immediately due
We may retain your information as required by law

9. Disclaimers and Warranties

9.1 Platform Provided "AS IS"

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

9.2 No Warranty on Transactions

WE DO NOT GUARANTEE:

The quality, safety, or legality of products listed
The accuracy of seller listings or descriptions
That sellers will complete transactions
That buyers will pay for orders
The identity or credentials of users

10. Limitation of Liability

10.1 Scope of Limitation

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REPTILEKITCHEN AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES.

10.2 Maximum Liability Cap

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THE PLATFORM SHALL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID US IN FEES IN THE 12 MONTHS BEFORE THE CLAIM AROSE.

11. Animal Welfare and Compliance

11.1 Legal Compliance

Sellers must comply with all applicable laws, including:

Animal Welfare Act and USDA regulations
State and local animal breeding and sales laws
Interstate transport regulations
Endangered Species Act
Truth in advertising laws

11.2 Humane Treatment

All users must treat animals humanely. Sellers must:

Maintain animals in healthy, clean conditions
Provide adequate food, water, and veterinary care
Ship animals safely with proper temperature control
Avoid unnecessary suffering

12. Breeder Tools & Educational Content

DISCLAIMER & LIMITATION OF USE FOR BREEDER TOOLS

12.1 Nature of Information

The information, calculators, comparisons, and reference materials provided in our Breeder Tools section (including but not limited to the CO₂ Equipment Planner, Flow Rate Calculator, Feeder Profit Estimator, and related resources) are intended solely for general informational, educational, and operational-planning purposes.

12.2 What We Do NOT Provide

ReptileKitchen does NOT provide veterinary advice, procedural instructions, step-by-step guidance, or any form of recommendation for performing actions that may be regulated, restricted, or professionally supervised.

Nothing on this website should be interpreted as encouragement, facilitation, or authorization of any specific animal-handling technique or other activity that may be subject to animal-welfare laws, cruelty statutes, agricultural regulations, or veterinary-practice requirements.

12.3 User Responsibility

Users assume full responsibility for ensuring compliance with:

All applicable federal, state, and local laws
Recognized animal-welfare guidelines (including AVMA, AAALAC, USDA, and institutional IACUC standards)
Professional veterinary and animal-care standards
Any licensing or permit requirements in their jurisdiction

Before conducting any activity involving live animals, users must consult a licensed veterinarian or qualified animal-care professional.

12.4 Disclaimer of Liability

REPTILEKITCHEN EXPRESSLY DISCLAIMS LIABILITY FOR MISUSE OF INFORMATION PRESENTED ON THIS SITE, AND FOR ANY ACTIONS PERFORMED BASED ON PARTIAL, MISINTERPRETED, OR INCORRECT USE OF GENERAL SCIENTIFIC OR EQUIPMENT-RELATED DATA.

The tools and reference materials are provided "as is" without warranty of any kind. We do not guarantee the accuracy, completeness, or applicability of any calculations, estimates, or recommendations to your specific situation.

13. Dispute Resolution and Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

13.1 Binding Arbitration

If informal resolution fails, you agree that any dispute, claim, or controversy arising from or relating to these Terms or the Platform shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules.

13.2 Class Action Waiver

YOU AGREE THAT DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS ONLY. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE ACTION.

14. General Provisions

14.1 Governing Law

These Terms are governed by the laws of [State], without regard to conflict of law principles.

14.2 Changes to Terms

We may modify these Terms at any time by posting the revised Terms on the Platform. Material changes will be notified through email and prominent notice on the Platform. Continued use after changes constitutes acceptance.
